The general terms and conditions

1. Definitions

For the purposes of these General Terms and Conditions, the following terms shall have the meanings set out below:

Talenschool Nick Daniels: the sole proprietorship Talenschool Nick Daniels, established in the Netherlands, providing online and in-person language courses, lesson packages, and supplementary educational services.

Student: any natural person or legal entity entering into an agreement with Talenschool Nick Daniels.

Agreement: any agreement between Talenschool Nick Daniels and the Student relating to the provision of lessons, courses, subscriptions, lesson packages, or any other services.

Lesson Package: a predetermined number of lessons purchased by the Student.

Subscription: an ongoing agreement under which the Student pays a monthly fee for lessons, access to the Online Learning Environment, and/or other services.

Online Learning Environment: all digital learning environments, platforms, files, videos, audio recordings, exercises, and any other educational materials made available by Talenschool Nick Daniels.

2. Applicability

2.1. These General Terms and Conditions shall apply to all quotations, agreements, lessons, courses, subscriptions, lesson packages, and any other services provided by Talenschool Nick Daniels.

2.2. By enrolling in a course or lesson, the Student acknowledges having read these General Terms and Conditions and agrees to be bound by them.

2.3. Any deviations from these General Terms and Conditions shall only be valid if expressly agreed upon and confirmed in writing by Talenschool Nick Daniels in advance.

2.4. Should any provision of these General Terms and Conditions be held to be wholly or partially invalid, void, or unenforceable, the remaining provisions shall remain in full force and effect.

3. Formation of the Agreement

3.1. An Agreement shall be deemed to have been concluded once:

the Student has enrolled via the website or by email; and
Talenschool Nick Daniels has confirmed the enrolment.

3.2. For Subscriptions and ongoing Lesson Packages, the Agreement shall commence on the agreed start date.

3.3. By paying an invoice, the Student confirms acceptance of:

these General Terms and Conditions;
the agreed fees and rates; and
the selected method of payment.

3.4. Payment of the first invoice shall constitute the Student's electronic acceptance of the Agreement. No separate signature shall be required.

3.5. Talenschool Nick Daniels reserves the right to refuse any enrolment at its sole discretion and without stating reasons.

4. Fees, Invoicing and Payment

4.1 Fees

4.1.1. All prices are stated in euros (€).

4.1.2. Where applicable, prices include Value Added Tax (VAT). Where a statutory VAT exemption applies, no VAT shall be charged.

4.1.3. Talenschool Nick Daniels reserves the right to adjust its fees annually. Existing Students shall be notified in writing of any fee adjustment at least one (1) month in advance.

4.2 Invoicing

4.2.1. Invoices shall be issued electronically and sent to the email address provided by the Student.

4.2.2. The Student is solely responsible for promptly notifying Talenschool Nick Daniels of any changes to their email address, name, or invoicing details.

4.2.3. An invoice shall be deemed to have been received once it has been sent to the Student's most recently provided email address.

4.3 Invoice Issuance

4.3.1. Where payment is made by iDEAL (WERO) or SEPA Direct Debit, the monthly invoice shall be issued on or around the 20th day of each calendar month.

4.3.2. Where payment is made by Visa, Mastercard, or any other credit card, the monthly invoice shall be issued on or around the 1st day of each calendar month.

4.3.3. Talenschool Nick Daniels reserves the right to deviate from the above invoicing schedule where technical or administrative circumstances reasonably require.

4.4 Payment

4.4.1. Payment shall be made within the payment period specified on the invoice.

4.4.2. Unless otherwise agreed in writing, the standard payment term shall be fourteen (14) days from the invoice date.

4.4.3. The Student shall remain responsible for ensuring timely payment, including where an automatic payment method is used.

4.5 Late Payment

4.5.1. If payment is not received by the due date, the Student shall first receive a reminder free of charge.

4.5.2. If payment remains outstanding thereafter, Talenschool Nick Daniels shall be entitled to charge the statutory collection costs and statutory interest in accordance with applicable Dutch law.

4.5.3. If payment is still not received following a formal demand for payment, Talenschool Nick Daniels may refer the outstanding debt to a debt collection agency or bailiff. All reasonable extrajudicial and judicial costs incurred in recovering the outstanding amount shall be borne by the Student.

4.5.4. Talenschool Nick Daniels further reserves the right to suspend the Student's access to lessons, the Online Learning Environment, and any other services until all outstanding amounts have been paid in full.

4.5.5. Suspension of services shall not relieve the Student of any payment obligations under the Agreement.

5. Termination and Cancellation of the Agreement

5.1 Ongoing Subscriptions

5.1.1. An ongoing Subscription may only be terminated by written notice sent by email to info@talenschoolnickdaniels.com.

5.1.2. To terminate the Subscription effective from the beginning of the next calendar month, the notice of termination must be received by Talenschool Nick Daniels no later than the 15th day of the current calendar month.

5.1.3. Where notice of termination is received no later than 11:59 p.m. (Dutch time) on the 15th calendar day of the current month, the Subscription shall terminate at the end of that calendar month, provided that the Student initially enrolled in a Flexible Course. The tuition fees for that month shall remain payable in full.

5.1.4. Upon termination of the Subscription, the Student's access to lessons, the Online Learning Environment, and all related services shall automatically end on the termination date, unless otherwise agreed in writing.

5.2 Fixed-Term Courses

5.2.1. Courses with a predetermined fixed duration may not be terminated before the agreed end date, unless otherwise agreed in writing or required by applicable law.

5.2.2. The full course fee shall remain payable throughout the agreed course period.

5.3 Statutory Right of Withdrawal

5.3.1. Where the Student qualifies as a consumer under applicable law, the Student shall have the statutory right to withdraw from the Agreement within fourteen (14) days after its conclusion, without stating any reason.

5.3.2. Where the Student has expressly requested that the course commence during the withdrawal period, Talenschool Nick Daniels shall be entitled to charge a proportionate amount for the services already provided up to the date of withdrawal.

5.3.3. The statutory right of withdrawal shall lapse once the digital service has been fully performed or the course has been completed in full, provided that the Student has expressly consented in advance to such performance and acknowledged that the right of withdrawal would thereby be lost.

6. Lesson Scheduling

6.1 Scheduling Lessons

6.1.1. Lessons shall be scheduled through the reservation system provided by Talenschool Nick Daniels, unless otherwise agreed in writing.

6.1.2. The Student is responsible for scheduling lessons in a timely manner within the validity period of the selected Lesson Package or Subscription.

6.1.3. If no suitable lesson time is available, Talenschool Nick Daniels shall use reasonable efforts to offer an appropriate alternative.

6.2 Cancellation of Lessons

6.2.1. A scheduled lesson may be cancelled or rescheduled free of charge up to seventy-two (72) hours before the scheduled start time.

6.2.2. If a lesson is cancelled within seventy-two (72) hours of its scheduled start time, the lesson shall be forfeited and no refund, replacement lesson, or credit shall be provided.

6.2.3. In the event of illness, the Student must notify Talenschool Nick Daniels in writing by email no later than 10:00 a.m. (Dutch time) on the day of the scheduled lesson.

6.2.4. In the event of repeated reports of illness, Talenschool Nick Daniels reserves the right to request additional information or reasonable proof of the Student's inability to attend.

6.3 Late Arrival

6.3.1. If the Student arrives late, the lesson shall end at the originally scheduled end time.

6.3.2. Lost lesson time shall not be made up and shall not give rise to any right to a refund or replacement lesson.

6.3.3. If the Student is not present more than ten (10) minutes after the scheduled start time without prior notice, this shall be considered a no-show. The lesson will then be cancelled in full and will not be rescheduled or refunded.

6.4 No-Show

6.4.1. If the Student fails to attend a scheduled lesson without prior notice, the lesson shall be deemed forfeited in full.

6.4.2. A No-Show shall not entitle the Student to any refund, rescheduling, replacement lesson, or credit.

6.5 Cancellation by Talenschool Nick Daniels

6.5.1. Talenschool Nick Daniels reserves the right to reschedule or cancel a lesson due to illness, force majeure, or other unforeseen circumstances.

6.5.2. In such cases, the Student shall be offered a replacement lesson as soon as reasonably practicable or, where appropriate, a refund for the cancelled lesson.

7. Online Learning Environment and Course Materials

7.1 Access

7.1.1. During the term of the Agreement, the Student shall receive access to the Online Learning Environment where this forms part of the selected Lesson Package or Subscription.

7.1.2. Login credentials are strictly personal and may not be shared with any third party.

7.1.3. Talenschool Nick Daniels may temporarily suspend access to the Online Learning Environment where misuse or unauthorized use is reasonably suspected.

7.2 Course Materials

7.2.1. All course materials, including videos, audio recordings, presentations, workbooks, assignments, exercises, documents, and any other educational content, shall remain the intellectual property of Talenschool Nick Daniels or the relevant copyright holder.

7.2.2. Course materials are provided exclusively for the Student's personal, non-commercial use.

7.2.3. Without the prior written consent of Talenschool Nick Daniels, the Student shall not copy, reproduce, publish, distribute, sell, share, or otherwise make available, in whole or in part, any course materials to third parties.

7.3 Duration of Access

7.3.1. Access to the Online Learning Environment shall automatically terminate upon termination of the Agreement, unless otherwise agreed in writing.

7.3.2. Personal reading and listening lists form part of the educational services and shall be removed following termination of the Agreement.

7.3.3. If the Student subsequently purchases a new Lesson Package or Subscription, Talenschool Nick Daniels may restore the Student's personal learning progress, insofar as such data remains available.

7.4 Third-Party Platforms

7.4.1. Third-party educational platforms may be subject to separate terms of use and technical limitations.

7.4.2. Talenschool Nick Daniels shall not be liable for any modifications, restrictions, interruptions, or discontinuation implemented by the providers of such third-party platforms.

7.4.3. Access to games, exercises, or other content hosted on third-party platforms may be limited in duration. Talenschool Nick Daniels does not guarantee the continued availability of such content.

8. Lesson Recordings

8.1. Talenschool Nick Daniels may record lessons for administrative purposes, quality assurance, or to support the delivery of the course.

8.2. Any recordings shall be treated as confidential and shall not be published or shared publicly unless the Student has given separate, explicit consent.

8.3. Students are not permitted to make, distribute, publish, or otherwise disclose audio or video recordings of lessons without the prior written consent of Talenschool Nick Daniels.

9. Intellectual Property

9.1 Intellectual Property Rights

9.1.1. All intellectual property rights relating to course materials, videos, presentations, workbooks, assignments, examinations, audio recordings, images, digital files, exercises, websites, the Online Learning Environment, and any other educational content developed or provided by Talenschool Nick Daniels shall remain the exclusive property of Talenschool Nick Daniels or the relevant rights holder.

9.1.2. The Agreement grants the Student only a personal, limited, non-exclusive, non-transferable, and non-sublicensable licence to use such materials for educational purposes.

9.2 Prohibited Use

Without the prior written consent of Talenschool Nick Daniels, the Student shall not:

copy or reproduce any course materials;
publish or disclose any course materials;
sell or commercially exploit any course materials;
share course materials with third parties;
upload course materials to websites or the internet;
distribute course materials via social media;
use course materials for commercial purposes; or
incorporate, in whole or in part, any course materials into the Student's own teaching materials or educational products.

9.3 Use of Artificial Intelligence (AI)

Students are prohibited from using any course materials provided by Talenschool Nick Daniels to train artificial intelligence systems, machine learning models, large language models, or similar technologies without prior written permission.

Students are likewise prohibited from uploading, whether in whole or in part, any course materials to AI services or platforms, including but not limited to ChatGPT, Claude, Gemini, or comparable systems, unless Talenschool Nick Daniels has granted prior written consent.

10. Conduct During Lessons

10.1. Students are expected to behave respectfully towards the instructor and any fellow students at all times.

10.2. Discrimination, harassment, intimidation, abusive language, threats, or any other inappropriate or unacceptable behaviour shall not be tolerated.

10.3. In the event of serious or repeated misconduct, Talenschool Nick Daniels reserves the right to terminate the Agreement with immediate effect.

10.4. In such event, the Student shall not be entitled to any refund of fees already paid.

11. Liability

11.1. Talenschool Nick Daniels shall perform its services with reasonable care, skill, and professional diligence.

11.2. Talenschool Nick Daniels does not guarantee that any Student will achieve a particular language level or successfully pass any examination.

11.3. Talenschool Nick Daniels shall only be liable for direct damage resulting directly from wilful misconduct or deliberate recklessness.

11.4. Any liability shall in all cases be limited to the total amount paid by the Student for the specific service giving rise to the claim.

11.5. Talenschool Nick Daniels shall not be liable for, including but not limited to:

internet outages or connectivity issues;
failures or interruptions of third-party platforms;
technical problems on the Student's devices or network;
loss of data;
missed lessons resulting from technical issues on the Student's side; or
indirect, consequential, incidental, or special damages.

12. Force Majeure

12.1. Force Majeure shall mean any circumstance beyond the reasonable control of Talenschool Nick Daniels that prevents or delays the performance of its obligations.

Such circumstances include, but are not limited to:

illness;
government measures or restrictions;
internet outages;
power failures;
natural disasters;
pandemics;
failures of software providers; and
cyberattacks.

12.2. During a Force Majeure event, lessons may be rescheduled or provided online where reasonably possible.

12.3. If performance of the Agreement becomes permanently impossible due to Force Majeure, either party may terminate the Agreement without any obligation to pay compensation or damages.

13. Privacy

13.1. Talenschool Nick Daniels processes personal data in accordance with applicable privacy legislation, including the General Data Protection Regulation (GDPR).

13.2. Personal data shall be processed solely for the purposes of:

performing the Agreement;
course administration;
invoicing;
communication with the Student; and
compliance with statutory legal obligations.

13.3. Personal data shall not be disclosed to third parties unless such disclosure is necessary for the performance of the Agreement or required by applicable law.

13.4. The Privacy Statement of Talenschool Nick Daniels shall also apply to the processing of personal data.

14. Complaints

14.1. Complaints regarding lessons or services must be submitted in writing as soon as reasonably possible, and in any event no later than fourteen (14) days after the circumstances giving rise to the complaint, by email to info@talenschoolnickdaniels.com.

14.2. Talenschool Nick Daniels aims to provide a substantive response to complaints within fourteen (14) days of receipt.

14.3. The submission of a complaint shall not suspend the Student's obligation to pay any outstanding invoices.

15. Amendments to these General Terms and Conditions

15.1. Talenschool Nick Daniels reserves the right to amend these General Terms and Conditions.

15.2. Existing Students shall be notified of any amendments at least one (1) month before the amendments take effect.

15.3. Where an amendment materially and adversely affects an existing Agreement, the Student shall be entitled to terminate the Agreement free of charge before the amendment becomes effective.

16. Governing Law and Dispute Resolution

16.1. All Agreements between Talenschool Nick Daniels and the Student shall be governed exclusively by the laws of the Netherlands.

16.2. The parties shall first endeavour to resolve any dispute amicably through mutual consultation.

16.3. If no amicable settlement can be reached, any dispute shall be submitted to the competent court in the judicial district in which Talenschool Nick Daniels has its registered place of business, insofar as permitted by applicable law.
